CONSTITUTION AND BY-LAWS   
  THE AMERICAN CHAMBER OF COMMERCE IN KOREA  
     
  ARTICLE VI  
  Section 1. ELECTION
At an Annual Election, held following receipt of nominations at a regular meeting held not later than, on or before the 31st day of December of each year, there shall be chosen a President, a Treasurer, the required number of Vice Presidents and Governors to serve in place of those whose terms of office shall expire at the end of the calendar year and to fill the unexpired terms of such other vacancies as such may exist. Except as provided in Article V, Section 1(b), the officers and members of the Board of Governors shall be elected as provided in the By-Laws and the Governors will be nominated and elected to reflect a proportional representation of Chamber voting members as provided in the By-Laws.
 
     
  Section 2. NOMINATION PROCEDURES
Nomination and election procedures shall be provided for in the By-Laws, except that any change shall require ratification by two-thirds of voting members present at a regularly called meeting.
 
     
  Section 3. TERMS OF OFFICE
(a) Terms of office of all officers and members of the Board of Governors elected at the annual election shall begin on 1 January. Said officers and governors are formally installed by the Honorary President at the annual inaugural meeting, and they shall serve until their successors are elected and qualified.

(b) The term of office of the President shall be for one year.

(c) The term of office of the three Vice Presidents and the Treasurer shall be for three years.

(d) The term of office for elected members of the Board of Governors shall be three years and the term of office for appointed members of the Board of Governors shall be two years.

(e) Persons elected or appointed to fill unexpired terms of office will serve for the remainder of said term of office except as otherwise provided for in Section 5 of this article.
 
     
  Section 4. VACANCIES
Should any Officer or member of the Board of Governors decline to serve or resign his office, or if his office should become vacant through his health, disability, or for any other cause, the vacancy for the remainder of the calendar year shall be filled from nominees recommended by the Executive Committee or the Nominating Committee and elected at a meeting of the Board of Directors. Prior notice of which election shall be given to each member of the Board of Governors and at which a majority of the members of the Board of Governors shall be present or, at the discretion of the Board of Governors, such vacancy may be filled by a special election following the procedures established for the Annual Election, after a regular Chamber meeting at which nominations shall have been received.
 
     
  Section 5. RE-ELECTION
No person shall hold the office of President, Vice President, Treasurer, or Governor consecutively for more than two terms. No person shall chair or co-chair the same committee consecutively for more than three years.
