Section 1. OFFICERS AND BOARD OF
GOVERNORS
(a) Officers: The Chamber shall have a President, three Vice
Presidents and a Treasurer, who shall be known as the Officers
of the Chamber, who shall concurrently be members of the Board
of Governors, and who must be U.S. citizens with the possible
exception of one Vice President. The officers and the Executive
Vice President constitute the Executive Committee.
(b)The Executive Committee is responsible for developing policy
and planning for the Chamber and meets at the call of the President.
The President charges each member of the Executive Committee
with staff supervision of specified committees and such other
duties as he directs.
(c) Governors: The Chamber shall have, inclusive of the above
Offices, a total of seventeen Governors. Fourteen of the Governors
will be elected in accordance with the procedures set forth
in Article VI, all of who must be qualified company or individual
members on good standing. Three of the Governors will be appointed
by a resolution adopted by a majority of the fourteen elected
Governors. The appointed Governors must be qualified company,
associate, or individual members in good standing. No more than
one appointed Governor may be appointed from any single member
company of the Chamber.
(d) President: The president shall exercise general supervision
over the affairs and interest of the Chamber.
The president shall appoint and may remove the Chairman of all
Standing and Special Committees, except where the Board of Governors
shall otherwise order. He shall be ex-officio member of all
Standing and Special committees. He shall sign all official
documents of the Chamber, including title deeds and contracts,
and shall be authorized to sign checks, jointly with the Treasurer
or other signatory authorized by the Board of Governors. A President
whose term has expired shall be an ex-officio member of the
Board of Governors provided he remains a resident of Korea and
a COMPANY or INDIVIDUAL member in good standing.
(e) Vice Presidents: There shall be three Vice Presidents elected
from among company members or individual members. The President,
in writing to the Executive Vice President, may designate any
one of the Vice Presidents to act in his absence; failing that
designation, the senior vice president in the order of election
shall exercise the power and duties of the President. The Vice
Presidents shall otherwise perform such duties and exercise
such powers as the President. The Vice Presidents shall otherwise

may from time to time direct. One or more of the Vice Presidents
may be designated alternate to the President as signatory to
checks, notes, or other drafts upon Chamber accounts.
(f) Treasurer: The Treasurer, acting for the Board of Governors,
shall be charged with the responsibility of directing the efficient
management and custody of all assets and financial operations
of the Chamber and all accounting procedures related thereto,
and with the preparation and initial presentation to the Board
of Governors, no later than December of each year, of the proposed
budget for the following year.
The Treasurer shall be authorized to sign checks and notes with
other authorized signatories.
The Treasurer will render reports to the Board of Governors
on the financial status of the Chamber at such intervals as
the Board may direct, but in no case less than semi-annually.
(g) Executive Vice President: The Chamber shall employ an Executive
Vice President who shall be selected and appointed by the Board
of Governors and whole duties and remuneration shall be determined
by the Executive Committee.
(h) Honorary President: The Ambassador of the United States
of America to Korea upon election by the Board of Governors
and upon receipt of his acceptance, shall be installed as the
Honorary President at a meeting of the Chamber. He shall hold
the honorary Presidency during his term as Ambassador to Korea. |
